Corporate governance structure
At Kustom, we believe in a corporate governance framework that ensures and fosters clear accountability and effective decision-making. Our structure defines the roles and responsibilities of shareholders, the Board, the CEO, and the management team, ensuring transparency, strategic oversight, and strong leadership.
The Board
The Board is Kustom’s highest decision-making authority, responsible for overseeing the company’s strategy, organizational structure, and operations. It also holds ultimate responsibility for ensuring strong corporate governance throughout the organization.
Board members are elected by shareholders at the Annual General Meeting (AGM) and serve a one-year term until the next AGM. As Kustom is not required to have a nomination committee, no formal nomination policy has been established. In practice, board members are nominated and appointed by shareholders holding the majority of voting rights and company capital.
Martin is an entrepreneur and investor specializing in consumer goods and tech. He is Chairman of the Board at Kustom and Instabee and advises multiple companies.
He holds a Master of Economics from the Stockholm School of Economics and began his career at McKinsey, spending seven years in Stockholm, Berlin, and Moscow. In 2006, he co-founded Nshift and Vitamin Well—both of which later became unicorns—where he served as CEO and Chairman for 15 years.
Anna is the founder and CEO of Yanno Capital AB, an investment firm focused on tech. She serves on the Board of Kustom, is Chairman of Kreditz, and a board member of CR Group and Lisa&.
Previously, she held board positions at ABN Amro Group, NOBA Bank, Max Matthiessen, Ludvig & Co, and the listed company Ework Group. Anna began her career at Goldman Sachs in London before joining McKinsey & Co in Stockholm in 2004. From 2009 to 2018, she held executive roles at Nordea Bank, including Chairman of Nordea Hypotek AB.
Kamjar Hajabdolahi is a serial entrepreneur and founder of BLQ Invest, with a proven track record in launching, scaling, and exiting successful businesses. With deep expertise in technology, investments, and M&A, he has led over 100 transactions and built long-term success across industries.
He holds several board positions, including at the logistics company Ingrid, and serves as Chairman of Truecaller’s Nomination Committee. Kamjar holds a Master of Law from Uppsala University.
The Cheif Executive Officer
Kustom’s CEO oversees daily operations in line with the company’s articles of association and applicable laws. Reporting directly to the Board, the CEO provides regular updates on business performance and strategic progress.
As a Board member, the CEO attends all meetings, except when conflicts of interest arise, such as during performance evaluations. Other Group Management Team members may participate as needed.
The CEO’s responsibilities are defined in a formal instruction from the Board, outlining their duties and working relationship. Additionally, the CEO is responsible for appointing the CXOs.
